oa Civil Engineer in South Africa - Contractual risks in the documentation of construction contracts

 

Abstract

The paper draws attention to the fact that apart from the risks on construction contracts that arise from natural causes and changed requirements, both parties are exposed to risks that arise from unclear documentation, poor understanding of the documents and a lack of communication. These risks in relation to documentation arise from differing interpretations and misunderstandings that lead to conflict: once conflict has arisen the parties are exposed to the risk of extra payment or losses. The paper attempts to highlight some of the particular clauses and aspects of the documentation that can give rise to conflict and suggests some measures by which the exposure to such risks may be reduced.

Die verhadellng beklemtoon die feit dat tersyde die risiko's in konstruksie- kontrakte wat deur natuurlike gebeurtenisse en veranderde benodigdhede ontstaan, word albei partye bimtgestel aan risiko's wat deur onduidelike dokumentasie, onverstaanbaarheid van die dokumente en 'n gebrek aan kommunikasle ontstaan. Die risiko's verbonde aan die dokumentasie spruit ult verskillende interpretasies en verkeerde ontleding daarvan, wat tot konflikte lei. Wanneer konflikte ontstaan het, is die partye blootgestel aan die rislko van ekstra betaling of verliese. Die verhandeling poog om spesifieke klousules en aspekte van die dokumentasie wat konflik kan veroorsaak, te beklemtoon en stel voor sekere maatreels wat die blootstelling aan sulke risiko's kan vermlnder.
