Ss163(1) of the Companies Act, (71 of 2008) (the new Companies Act) enables a shareholder or a director of a company to rely on the oppression remedy on a number of grounds. Broadly speaking, however, this is available in instances when a particular act or omission of the company or a related person within which he or she is a shareholder or a director has a result that is 'oppressive or unfairly prejudicial' to, or has had a result that 'unfairly disregards the interest' of, the shareholder or director; as the case may be.
