Abstract

S66(1) of the Companies Act, (71 of 2008) provides that the business and affairs of a company must be managed by and/or under the direction of its board of directors (the board). The board has the authority to exercise all of the powers and perform any of the functions of the company, except to the extent that the Act or the Memorandum of Incorporation (MOI) of the company provide(s) otherwise.
