Abstract

The Companies Act (71 of 2008) (the New Act), which replaced the Companies Act (61 of 1973) (the Old Act), subject to the transitional arrangements set out in Schedule 5 of the New Act, brought with it far-reaching changes to the area of private companies and the transferability of securities under the "new" Companies Act. This article is not intended to set out an exposition of the changes but focuses only on the change that has resulted in the ability of a company to transfer its securities.
